Terms of Service

These Terms of Service govern your purchase and use of the digital products sold by zSellr (OPC) Private Limited ("zSellr", "we", "us") through the zSellr Themes store at zsellr.shop. By placing an order, you agree to these terms.

1. What we sell

We sell digital products only: downloadable Shopify themes delivered as .zip files. Prices are listed in USD and typically range from $79 to $129 per theme. Nothing physical is manufactured, packed, or shipped. You are responsible for any taxes or duties that apply to you locally, other than taxes we are required to collect and remit ourselves.

2. Delivery

Your theme file is made available for download after your payment is confirmed. You need a working internet connection, a device capable of downloading and extracting a .zip archive, and a Shopify store on which to install the theme. If your download does not become available or the file will not open, email us at info@zsellr.com and we will work with you to get you a usable copy.

3. What your purchase grants you

Your purchase grants you a licence to use the theme. It does not transfer ownership of the theme or of any part of it.

Subject to these terms, the licence is non-exclusive, non-transferable, and worldwide. Under it you may:

  • Install the theme on the Shopify store(s) permitted by your licence (see section 4);
  • Modify the theme's code, styling, and content for your own store's use;
  • Use the theme for a commercial store, including one that sells products or services.

4. One purchase per store

Our licensing expectation is one Shopify store per licence. If you want to use the same theme on additional stores, you are expected to buy an additional licence for each one. If you build stores for clients, see section 6.

5. Copyright and ownership

zSellr (OPC) Private Limited retains all copyright and other intellectual property rights in the themes, including the source code, templates, styles, and any demo assets we include. Nothing in these terms assigns those rights to you. Modifying the theme does not change who owns the underlying work.

6. What you may not do

You may not:

  • Resell, sublicense, rent, or otherwise distribute the theme files, whether modified or unmodified;
  • Share, upload, or publish the theme files anywhere others can obtain them, including public code repositories, file-sharing services, or marketplaces;
  • Give the theme files to another person or business to use on a store not covered by your licence;
  • Repackage the theme, or a derivative of it, as your own product or template;
  • Remove or obscure copyright or licence notices contained in the files.

Installing a theme on a client's store on that client's behalf is permitted, provided a separate licence is purchased for each client store. If your licence terms are breached, we may terminate the licence; termination does not entitle you to a refund except where a refund is otherwise due.

7. Demo content and third-party assets

Images, product photos, logos, fonts, or other sample content shown in a theme demo may not be included in the download, and where included may be licensed only for previewing the theme. You are responsible for having the rights to any content you use on your live store. Details of what is and is not included are set out on the product page for each theme.

8. Updates and support

Whether updates and support are included with a purchase, and for how long, is as follows: each purchase includes free minor updates to the theme for 12 months from the purchase date, and email support at info@zsellr.com for 12 months from the purchase date. We do not promise updates or support beyond what is stated there. Requests can be sent to info@zsellr.com.

9. Shopify platform changes

Our themes run on Shopify, which we do not control. Shopify may change its platform, theme architecture, Liquid, checkout, or app ecosystem at any time, and such changes can affect how a theme behaves. Keeping a theme working over time may require updates, either from us under the policy in section 8 or made by you. We are not responsible for changes made by Shopify, by apps you install, or by edits you or a third party make to the theme code.

10. No warranty that the theme suits your use case

The themes are provided "as is". We do not warrant that a theme will meet your particular requirements, match your expectations, work with every app or integration, run without errors, or be compatible with every browser, device, or future Shopify release. Please review the demo, description, and requirements before you buy. Any implied warranties are excluded to the extent the law allows; where the law gives you rights that cannot be excluded, those rights still apply.

11. Backups and your store

Installing or editing a theme changes your storefront. You are responsible for duplicating your existing theme or otherwise backing up before you install, and for testing before publishing. We are not responsible for lost storefront customisations, content, or settings.

12. Refunds

Refunds for digital downloads are handled under our Refund Policy, which allows a refund request within 14 days of purchase, subject to the conditions set out there.

13. Limitation of liability

To the fullest extent permitted by law, zSellr will not be liable for indirect, incidental, special, or consequential loss, or for lost profits, lost sales, lost revenue, lost data, or business interruption, arising from your use of or inability to use a theme. To the fullest extent permitted by law, our total liability for any claim relating to a theme is limited to the amount you paid us for that theme. Nothing here limits liability that cannot be limited under applicable law, including liability for fraud.

14. Changes to these terms

We may update these terms. The version in force at the time of your purchase applies to that purchase. The current version is always published on this page with its "last updated" date.

15. Governing law

These terms are governed by the laws of India, and the courts of Gurugram, Haryana have jurisdiction over any dispute, except where mandatory consumer-protection law in your country of residence gives you the right to bring a claim elsewhere.
